1. Acceptance of terms

These Terms of Service ("Terms") constitute an agreement between you ("User", "you") and Growth Solutions LLC ("Growth Solutions", "we"), headquartered at Doctor Phillips, Orlando, Florida 32819, United States. By accessing the website growthsolutionsus.com (the "Site"), submitting any form, retaining our services, or communicating with us, you represent that you have read, understood, and fully agreed to these Terms and our Privacy Policy.

If you do not agree to any provision of these Terms, you must not use the Site or our services.

2. About Growth Solutions

Growth Solutions LLC is a company specializing in commercial structuring, marketing, and sales for small and mid-sized businesses, focused on Brazilian immigrant entrepreneurs in the United States. We provide commercial diagnosis services, process and technology implementation, team training, and execution accountability.

Specific services, scope, deadlines, and compensation are defined in a separate engagement agreement entered into after the application and approval process described below.

3. Eligibility

To use our services, you must:

• Be at least 18 (eighteen) years of age and have full legal capacity to contract;
• Be an owner, partner, legal representative, or have decision-making authority over the company to be served;
• Provide true, accurate, current, and complete information during the application process;
• Not be subject to sanctions, embargoes, or legal restrictions that prevent contracting the services.

4. Application and selection process

Access to Growth Solutions services occurs through an application process in which we evaluate your company's fit to the program. Submitting the application form does not guarantee approval, engagement, or commencement of services.

Growth Solutions LLC reserves the right, at its sole discretion and without need for justification, to:

• Decline any application;
• Request additional or supplementary information;
• Limit the number of companies served in each engagement window;
• Discontinue selection processes at any time.

If the application is approved, specific commercial terms (scope, timeline, compensation, success/co-investment model) will be formalized in a separate agreement. These Terms do not replace or supersede the specific commercial agreement.

5. SMS and phone communications

By providing your mobile number and checking the consent box on any Site form, you agree to receive SMS, MMS, and/or phone calls from Growth Solutions LLC related to your inquiry or application.

• Variable frequency: the number of messages depends on the stage of our process you are in;
• Rates: message and data rates may apply from your carrier. Growth Solutions LLC does not charge for sending the messages;
• Opt-out: reply STOP to any message to stop receiving them;
• Help: reply HELP to receive our contact details;
• Confidentiality: no mobile information (number, content, opt-in/opt-out data) is shared with third parties for marketing purposes. Details in section 4 of the Privacy Policy.

The Growth Solutions LLC messaging program complies with A2P 10DLC, CTIA, and The Campaign Registry (TCR) requirements.

6. User obligations

You agree to:

• Provide truthful information and keep it updated;
• Not use the Site or our communication channels for illegal, fraudulent, abusive, or rights-infringing purposes;
• Not attempt to access restricted areas, interfere with the operation of the Site, reverse-engineer, perform mass scraping, or conduct attacks of any nature;
• Not submit defamatory, offensive, obscene, discriminatory, infringing, or otherwise unlawful content;
• Maintain confidentiality of any credentials or proprietary materials provided by Growth Solutions LLC during service delivery;
• Comply with all laws and regulations applicable to your business activity.

7. Intellectual property

All Site content — including, without limitation, text, graphics, logos, icons, images, audio, video, software, source code, frameworks, proprietary methodologies, processes, diagrams (including the GS 6-pillar ecosystem), and the selection/organization of such elements — is the exclusive property of Growth Solutions LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws applicable in the United States and internationally.

"Growth Solutions®" is a registered trademark of Growth Solutions LLC. No license or right to use our trademarks, logos, or content is granted, except by prior written authorization.

Materials delivered to contracted clients (templates, frameworks, playbooks) are licensed under the terms of the specific commercial agreement; in its absence, they are for the client's internal use, with no right to redistribute, sublicense, or commercialize.

8. Disclaimer of warranties

The Site and informational content therein are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or continued operation.

Statistics, testimonials, and case studies presented on the Site refer to specific results of Growth Solutions LLC clients under particular conditions and do not constitute promise, guarantee, or forecast of results for other users. Outcomes in business consulting depend on multiple factors outside our control, including client execution, market conditions, and business-specific variables.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Growth Solutions LLC, its members, directors, employees, agents, affiliates, or licensors be liable for:

• Indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, business opportunities, or reputation;
• Temporary or permanent unavailability of the Site;
• Content of third-party sites possibly linked from the Site;
• Failures, delays, or errors in SMS message delivery for which the carrier is responsible;
• Business decisions made by the User based on informational content of the Site.

Growth Solutions LLC's total liability to the User, with respect to use of the Site, is limited to the amount of US$ 100.00 (one hundred US dollars), unless otherwise provided in a specific commercial agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Growth Solutions LLC, its members, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of: (i) your breach of these Terms; (ii) violation of applicable laws or third-party rights; (iii) false or misleading information you provide; or (iv) misuse of the Site or our services.

11. Suspension and termination

Growth Solutions LLC may, at its sole discretion, suspend or terminate your access to the Site, decline to engage with you, or discontinue communications with you at any time and without prior notice, in the event of breach of these Terms, abusive conduct, or suspected fraud. Termination does not affect rights and obligations that, by their nature, should survive, including intellectual property, limitations of liability, and indemnification.

12. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without giving effect to conflicts-of-laws principles. Any disputes, controversies, or claims arising out of or relating to these Terms shall be submitted exclusively to the state and federal courts of competent jurisdiction located in Orange County, Florida, United States of America, to which the parties irrevocably consent.

You agree to waive any right to bring class action lawsuits and to resolve disputes individually, to the maximum extent permitted by applicable law.

13. Changes to these terms

We may update these Terms periodically. The "Last updated" date at the top of the page indicates the current version. Continued use of the Site after the posting of changes constitutes acceptance of the new Terms. For material changes, we will make reasonable efforts to notify registered users.
